Important Agreement Notice
BY ACCESSING AND USING THE MOBILE APPLICATION AND SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. YOU FURTHER ACKNOWLEDGE THAT THIS AGREEMENT IS A BINDING CONTRACT BETWEEN YOU AND ACECAM GOLF LLC, EVEN THOUGH IT IS ELECTRONIC AND NOT PHYSICALLY SIGNED BY YOU, AND IT GOVERNS YOUR USE OF THE MOBILE APPLICATION AND SERVICES.
These Terms of Service ("Agreement") set forth the general terms and conditions of your use of the AceCam® Golf mobile application ("Mobile Application" or "Service") and any of its related products and services (collectively, "Services"). This Agreement is legally binding between you ("User", "you" or "your") and AceCam® Golf LLC (doing business as "AceCam", "we", "us" or "our").
For the purposes of this Agreement, the terms "partnered course," "host course," "course," or "golf course" refer to any third-party golf facility that utilizes AceCam's Services and independently facilitates skill-based contests, competitions, promotions, or events that may be monitored, verified, or supported through AceCam's technology.
If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms "User", "you" or "your" shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access or use the Mobile Application and Services.
AceCam® Golf is a golf entertainment and social media platform that provides real-world performance tracking, video content delivery, and on-site engagement tools designed to enhance the golf experience at participating courses. Our Services include the installation of proprietary camera technology on select golf holes, enabling automatic capture of on-course play. This camera footage, combined with player-submitted results and AceCam's review processes (including manual review for Hole-in-One and other significant outcomes), supports performance verification for skill-based contests and Challenges. At certain locations, AceCam provides a Live Feed within designated areas of the clubhouse, displaying real-time or curated footage to highlight player achievements and increase community engagement. AceCam provides contest management, verification, and support services for partnered courses in connection with skill-based golf activity, including golf outings, tournaments, leagues, and regular play.
Using this infrastructure, AceCam generates verified video evidence of on-course activity and curated golf content from participating locations. These services may be integrated with skill-based golf contests, Challenges, and other platform-supported activities in order to support performance tracking, verification, content delivery, and related user engagement features. By providing trusted video capture, review, and verification support, AceCam helps Host Courses and platform participants document eligible golf activity and promote transparency in connection with featured on-course moments, including but not limited to Hole-in-One and Closest-to-the-Pin achievements.
If you are verified as a contest winner, Challenge winner, or otherwise eligible featured participant under the applicable rules or platform procedures, your highlight footage may be automatically curated and published on the AceCam platform as promotional or featured content for AceCam, the Host Course, or both, and may be designated as a "Featured Highlight."
AceCam supports two distinct categories of skill-based activity, each governed by its own operating model and contractual framework:
Both categories are skill-based in nature, with outcomes determined strictly by the participating player's measurable physical golf performance and with no element of chance involved.
Partnered golf courses may elect to have AceCam display and support their contest parameters through the AceCam platform for the purpose of tracking, verifying, and publishing contest outcomes. These contests are independently established and administered by the golf courses themselves ("Host Courses"). AceCam's role is to provide technology and support services that enhance contest transparency and user experience, including activity tracking, performance verification, leaderboard publishing, curated content delivery, and related promotional or operational services for the Host Course.
AceCam is not a gambling platform and does not offer games of chance. AceCam's contest, challenge, reward, and verification-related services are limited to skill-based golf activities in which outcomes are determined by measurable player performance under predetermined rules. AceCam's role is to provide technology, verification, reconciliation, Wallet credit, withdrawal, and related platform services in connection with such activities, in accordance with these Terms and any applicable supplemental rules.
AceCam may generate revenue through platform services, digital advertising, sponsorship arrangements, and other commercial relationships associated with the platform. In connection with Host Course contests, AceCam may also verify outcomes, reconcile eligible winnings or credits, and administer or facilitate the issuance of Wallet credits, withdrawals, or other approved payouts in accordance with the applicable contest rules, sponsor arrangements, course terms, and platform procedures.
Nothing in this section shall be interpreted to shift overall responsibility for Host Course contest rules, eligibility criteria, scoring structure, or underlying contest design away from the Host Course unless AceCam is expressly identified as administering a particular Wallet credit, withdrawal, reward, or payout function under the applicable rules or platform terms.
AceCam only features contests that are hosted by partner golf courses or otherwise made available through the platform on a skill-based basis, with outcomes determined strictly by measurable player performance and no element of chance involved. AceCam only supports or simulates contests in jurisdictions where such skill-based competitions are legally permitted and operates in accordance with applicable laws, regulations, and platform requirements.
Where prizes, rewards, or monetary awards are offered through Host Course contests, AceCam challenges, or platform-based programs, such amounts will be fixed or otherwise determined in advance under the applicable rules and may be funded by AceCam, a Host Course, a sponsor, or another authorized source identified in the applicable terms.
Participation in contests hosted by partner courses or made available through the AceCam platform is subject to the applicable Contest Terms and Rules, challenge terms, reward terms, or other supplemental rules, each of which may be incorporated by reference and must be agreed to before participation where required.
By participating in any Host Course contest or similar platform-supported contest experience, you acknowledge and agree to the following:
In addition to contests hosted by partner golf courses, AceCam may make available platform-based skill challenges ("Challenges"). Challenges are voluntary golf performance events governed by predetermined rules and verified through AceCam's camera systems, platform records, and review processes.
Challenges may require a user to satisfy a specific, measurable golf achievement, performance threshold, or comparative result under published Challenge terms. Where a Challenge includes a reward, credit, or monetary amount, such amount will be fixed or otherwise determined in advance under the applicable rules and may be funded by AceCam, a sponsor, a Host Course, or another authorized source identified in the applicable Challenge terms.
AceCam may verify Challenge outcomes, reconcile eligible winnings or credits, reflect eligible amounts in a user's AceCam Wallet, and administer or facilitate approved Wallet credits, withdrawals, or other payouts in accordance with the applicable Challenge terms and platform procedures. A credit to a user's AceCam Wallet does not necessarily result in an immediate external transfer of funds and may remain in the Wallet until the user initiates an eligible withdrawal and AceCam completes the applicable review, authorization, and transfer process.
Certain Challenges may compare the verified performance of one user against another under predetermined rules; however, any associated reward, Wallet credit, or payout will be administered by AceCam under the applicable Challenge terms and will not constitute a peer-to-peer transfer, pooled wagering arrangement, or variable prize pool between users.
Participation in Challenges may also contribute to AceCam's broader gamification and achievement system, including badges, milestones, rankings, and other forms of platform recognition. All Challenge outcomes are determined strictly by measurable player performance, without any element of chance, and participation remains subject to all applicable eligibility requirements and supplemental rules.
The AceCam Hole-in-One Progressive Jackpot ("AceCam HIO Jackpot") is an AceCam-Operated skill-based contest. AceCam funds the daily AceCam HIO Jackpot prize from its operational reserves, sponsor contributions, and other funding sources at AceCam's discretion. The posted prize amount may vary day-to-day based on operational considerations, sponsor involvement, course partnerships, and other factors. Once posted at 00:00 local time, the prize amount is fixed for that 24-hour contest day and applies equally to all participants. If multiple players record a verified Hole-in-One on the same contest day, the posted prize is evenly divided among all verified winners (the "Spread-the-Wealth Rule").
To enter the AceCam HIO Jackpot, you must pay the Entry Fee from your funded AceCam Wallet, satisfy the contest's eligibility requirements (including age, identity verification, and geofence verification), and comply with all rules and verification procedures set forth in the Rules of Play and any applicable supplemental rules.
In a Player vs. AceCam Challenge, a User attempts to satisfy a predetermined performance condition (for example, recording a birdie on a designated hole in a "Birdie Bonus" Challenge, or successfully hitting the green from a designated tee shot in a "Hit the Green" Challenge) for a fixed prize disclosed in advance. The User's Entry Fee is paid from the User's funded AceCam Wallet. If the User successfully meets the performance condition, AceCam pays the predetermined fixed prize from operational reserves, credited to the User's AceCam Wallet. If the User does not succeed, the Entry Fee is retained by AceCam.
In a Player vs. Player Challenge, two Users agree to compete head-to-head in a skill-based Challenge (for example, comparing performance on a designated hole). Each User pays, from the User's funded AceCam Wallet: (i) a Challenge Stake, which is contributed entirely to the combined Challenge pot, and (ii) a separate flat AceCam Service Fee, paid to AceCam Golf LLC in exchange for verification, video, content, and platform services for the Challenge. Upon completion, AceCam verifies results, and the winning User receives the full combined Challenge pot. AceCam does not retain any portion of the combined Challenge pot. AceCam's compensation for Player vs. Player Challenges is solely the flat Service Fee paid by each participating User, which is identical regardless of the size of the Challenge Stake.
AceCam will make determinations relating to Challenges, verified achievements, Wallet credits, rewards, withdrawals, and related platform disbursements in good faith based on the applicable rules, platform records, verification systems, camera footage, payment records, and other information reasonably available at the time of review.
AceCam reserves the right to investigate, delay, suspend, deny, adjust, reverse, or correct any Challenge result, Wallet credit, reward, withdrawal request, or related payout where reasonably necessary to address fraud, technical error, unauthorized activity, incomplete verification, rule violations, payment failure, disputed eligibility, suspicious conduct, or compliance concerns.
If a user believes a Challenge result, credit, or payout was determined incorrectly, the user may submit the matter to AceCam for review in accordance with any applicable Challenge rules, support procedures, or supplemental terms.
Separately from Host Course contests, AceCam may, at its sole discretion, offer platform-based rewards, milestone incentives, promotional programs, or other user recognition features. These may include digital achievement badges, in-kind sponsor gifts, gift cards, pro shop credit, Wallet credits, monetary awards, or other approved rewards tied to user engagement, verified performance, or participation in designated platform activities.
Where monetary, Wallet-based, or other measurable rewards are offered, such amounts will be fixed or otherwise determined in advance under the applicable program terms. Such rewards may be funded by AceCam, a sponsor, a Host Course, or another authorized source identified in the applicable terms.
Platform-based rewards are optional, are not guaranteed unless expressly stated in the applicable terms, and may be subject to eligibility requirements, verification procedures, fraud review, timing restrictions, withdrawal rules, or other platform controls. AceCam may modify, suspend, limit, or discontinue any platform-based reward, incentive, or promotional program at any time, subject to applicable law and any express commitments made in the applicable rules or terms.
Where a platform-based reward is credited to a user's AceCam Wallet, such credit does not necessarily result in an immediate external transfer of funds. Any withdrawal of available funds remains subject to AceCam's Wallet terms, payment authorization procedures, verification requirements, and applicable payment processor or banking requirements.
Questions or disputes relating to Host Course contest rules, scoring criteria, contest structure, or player eligibility should generally be directed first to the applicable Host Course, except to the extent AceCam is expressly identified as administering a particular Wallet credit, withdrawal, promotional reward, or related payout function.
Questions or disputes relating specifically to AceCam's verification systems, Challenge outcomes, platform-based rewards, Wallet balances, internal credits, withdrawal requests, payment processing, or AceCam-administered disbursements may be reviewed by AceCam in accordance with these Terms, the applicable supplemental rules, and AceCam's support and review procedures.
AceCam will review such matters in good faith based on the applicable rules, platform records, verification systems, payment records, and other information reasonably available at the time of review. AceCam reserves the right to investigate, delay, suspend, deny, adjust, reverse, or correct any credit, withdrawal, reward, or payout where reasonably necessary to address fraud, technical error, unauthorized activity, incomplete verification, rule violations, payment failure, disputed eligibility, suspicious conduct, or compliance concerns.
Nothing in this section obligates AceCam to issue, maintain, or release any Wallet credit, withdrawal, reward, or payout that AceCam reasonably believes was issued in error, obtained through unauthorized activity, inconsistent with the applicable rules, unsupported by verification records, or otherwise prohibited by law, payment processor requirements, or these Terms.
AceCam may utilize third-party payment processors, financial service providers, banking partners, Wallet infrastructure providers, identity verification providers, and related service vendors in order to support platform functionality, including user funding, payment processing, Wallet functionality, refunds, credits, withdrawals, and other approved financial or account-related services. By using such features, you acknowledge and agree that certain transactions, account functions, and verification processes may be administered in part by such third-party providers, subject to their applicable terms, rules, and operational requirements.
AceCam's currently-authorized payment partners include CyberSource (for credit and debit card transactions), Cliq (for ACH bank transfers, via PCI-compliant vault), Plaid Technologies, Inc. (for bank-account authentication and identity verification), and Venmo, a service of PayPal, Inc. (as an additional consumer-facing payment rail for AceCam Wallet funding and player payouts). The active payment partners may be updated by AceCam from time to time and are further described in the AceCam Privacy Policy.
AceCam may charge users directly for AceCam platform services, including but not limited to video verification, content delivery, challenge participation, eligible Wallet funding transactions, and other approved service-based platform activity. All fees, charges, credits, and withdrawals are subject to these Terms, any applicable supplemental rules, and the policies and requirements of AceCam's payment and service providers.
AceCam reserves the right to decline, delay, suspend, reverse, limit, or cancel any transaction, payment, credit, or withdrawal where necessary to prevent fraud, verify eligibility, comply with legal or regulatory requirements, satisfy payment processor requirements, investigate suspicious activity, or protect the security and integrity of the platform.
AceCam does not sell digital goods or unlock digital-only in-app content for purchase through the Mobile Application. Payments processed through AceCam or its authorized payment service providers are for external, real-world services and platform functions related to golf activity at physical golf courses, including verification services, content delivery, Wallet funding, eligible withdrawals, and other approved platform-supported transactions. Because such services and related transactions are connected to real-world golf activity, external services, or limited-purpose platform account functionality, they are not intended to be subject to Apple In-App Purchase (IAP) or Google Play Billing requirements.
AceCam may make available an internal Wallet, stored balance feature, or similar account balance functionality within the platform (the "Wallet"). The Wallet allows eligible users to fund their AceCam account, maintain a balance for use within the AceCam platform, receive internal credits or rewards where applicable, and request withdrawal of available funds to a linked financial account, subject to verification, eligibility, and any applicable limits, holds, or review procedures.
Amounts reflected in a user's Wallet may arise from one or more of the following: user-initiated funding transactions, refunds, promotional credits, verified challenge outcomes, verified rewards, AceCam-administered payouts, or other approved balance adjustments made by AceCam in accordance with these Terms and any applicable supplemental rules.
A credit to a user's Wallet does not necessarily result in an immediate transfer of funds to the user's bank account or other external financial destination. Funds may remain in the Wallet until the user initiates an eligible withdrawal and AceCam completes any applicable review, authorization, verification, fraud prevention, or transfer process required by AceCam or its payment service providers.
Wallet balances may only be used within the AceCam platform for AceCam-approved transactions, services, rewards, or other authorized platform activity. Wallet balances may not be sold, assigned, transferred, pledged, or used outside the platform except through an authorized withdrawal process made available by AceCam.
AceCam reserves the right to impose transaction limits, balance limits, withdrawal thresholds, review procedures, temporary holds, reserve requirements, or additional verification requirements in connection with Wallet activity in order to prevent fraud, comply with legal obligations, support payment processor requirements, and maintain platform integrity.
AceCam does not guarantee that all users, transactions, credits, rewards, or Wallet balances will be eligible for immediate withdrawal. The availability and timing of withdrawals may depend on transaction history, verification status, applicable challenge or reward terms, payment processor requirements, bank processing timelines, fraud or risk review, and other operational or legal considerations.
The Wallet is a limited-purpose platform balance feature for use solely within AceCam and does not constitute a general-purpose stored value account, bank account, or payment instrument.
By linking a bank account or other eligible financial account to the AceCam platform, initiating a funding transaction, making a payment, participating in an eligible AceCam service, or requesting a withdrawal, you authorize AceCam and its payment service providers to initiate debits and credits to your linked financial account, as applicable, for purposes including, without limitation:
You represent and warrant that any linked financial account belongs to you or that you have full legal authority to authorize debits, credits, and other transactions involving that account. You further agree to provide accurate, current, and complete financial account information and to update such information promptly if it changes.
You acknowledge and agree that AceCam may rely on its own records, platform activity, verification systems, user instructions, and the records of its payment service providers in determining whether a transaction has been authorized, funded, credited, reversed, returned, or completed.
AceCam may reject, delay, reverse, suspend, or cancel any transaction or withdrawal request where required by law, where fraud or unauthorized activity is suspected, where verification is incomplete, where a linked account is invalid or ineligible, where a payment provider or financial institution declines to process the transaction, or where AceCam reasonably determines that doing so is necessary to protect users, the platform, or its financial and operational integrity.
You remain responsible for any obligations owed directly to AceCam for AceCam platform services, regardless of whether a bank transfer, payment instruction, or linked-account transaction is delayed, rejected, returned, reversed, or otherwise unsuccessful.
From time to time, a payment you send to fund your AceCam Wallet (including a payment made through Venmo or another supported payment method) may be placed on hold, delayed, or otherwise not immediately settled by the applicable payment provider. As a convenience, AceCam may, in its sole discretion, make all or part of such funds available in your AceCam Wallet on a provisional basisbefore the underlying payment has fully settled, so that you may use the Wallet balance within the AceCam platform without waiting for the provider's hold to clear.
You acknowledge and agree that any such provisional credit is conditional and is not final until the underlying payment settles. If the underlying payment is not completed, is reversed, is returned, or otherwise fails to settle, AceCam may reverse, debit, or claw back the corresponding amount from your AceCam Wallet — up to the amount that was provisionally credited — including by reducing your available Wallet balance, applying the reversal against later credits, or recording a corresponding amount owed to AceCam. A provisional credit that is reversed will be reflected as a separate reversal entry in your Wallet activity rather than by altering the original transaction.
Provisional credit is offered at AceCam's sole discretion, may be subject to eligibility requirements and limits, and may be modified, suspended, or discontinued at any time. Nothing in this section obligates AceCam to provide provisional credit for any payment, and provisional credit does not waive your responsibility for the underlying payment.
You must be at least 17 years of age to use the AceCam Mobile Application and Services. Users who are under 18 may create an account and access non-contest features, such as social media content and community engagement tools, but are not permitted to participate in any AceCam-supported skill-based contest or challenge — including Host Course Contests, AceCam-Operated Contests (including the AceCam HIO Progressive Jackpot), and AceCam Challenges (including Player vs. AceCam and Player vs. Player Challenges) — and are not permitted to fund the AceCam Wallet. By registering for an account, you represent and warrant that you meet these age requirements. If you are using the Services on behalf of a business or other legal entity, you further represent that you have the authority to bind that entity to these Terms.
To access certain features of our Services, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form and to update such information as necessary to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify AceCam immediately of any unauthorized use of your account or any other breach of security. AceCam will not be liable for any loss or damage arising from your failure to comply with this security obligation. We reserve the right to suspend or terminate your account if we suspect any unauthorized activity or violation of these Terms.
AceCam reserves the right, but not the obligation, to verify any information provided during the account creation process. We may monitor and review new accounts before granting access to our Services. This includes, but is not limited to, confirming your age and identity.
We reserve the right to suspend or terminate your account at any time, with or without cause or notice, including but not limited to instances where you violate these Terms, engage in conduct harmful to our reputation, or misuse our Services. If your account is terminated for any reason, you may not re-register for the Services.
You agree to use your account only for lawful purposes and in accordance with these Terms. You are responsible for all actions taken under your account and for ensuring that your account is not used by any unauthorized persons.
Upon creating an account, you may receive access to certain features and benefits of the AceCam Services, including personalized content, notifications, video content access, participation in eligible platform features, and the ability to have your golf activity, contest participation, Challenge participation, or other eligible platform-supported activity tracked, verified, featured, or otherwise supported through the Services, subject to your age, eligibility, and the applicable rules or platform procedures. Membership benefits may vary by user, location, Host Course, or platform offering and are subject to change, suspension, or discontinuation at AceCam's discretion.
AceCam reserves the right to modify these membership terms at any time. We will notify you of any material changes by posting a notice in the Mobile Application or via email. Your continued use of the Services after any changes constitutes your acceptance of the modified terms.
You retain ownership of any content you submit, post, or display (collectively, "User Content") through the Mobile Application and Services. By submitting User Content, you grant AceCam a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, publish, and distribute such User Content for the purpose of providing and promoting our Services.
You are solely responsible for the User Content you create and share through our Services. This includes ensuring that your User Content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights. You warrant that you have the necessary rights to grant AceCam the license granted in this Agreement.
While AceCam does not routinely monitor User Content, we reserve the right to review, monitor, and remove any User Content that, in our sole discretion, violates these Terms or is otherwise objectionable. We may take such action without prior notice and will not be liable for any loss or damage resulting from our decision to remove User Content.
You agree not to submit User Content that:
If you become aware of any User Content that violates these Terms, please report it to us at support@acecamgolf.com. We will investigate any such reports and take appropriate action.
As a user of the AceCam Mobile Application and Services, you agree to the following responsibilities:
In addition to other terms set forth in this Agreement, you are prohibited from using the AceCam Mobile Application and Services or any Content in any of the following ways:
Reporting Violations: If you observe any violations of these prohibitions, please report them to us at support@acecamgolf.com. We reserve the right to investigate any reported violations and to terminate your use of the Mobile Application and Services for violating any of the prohibited uses.
The AceCam Mobile Application and Services may contain links to third-party websites, applications, or services that are not owned or controlled by AceCam. We do not control these third-party services and assume no responsibility for their content, privacy policies, or practices.
The inclusion of any link or embedded content does not imply endorsement by AceCam of the activities or content of these sites, nor any association with their operators.
You acknowledge that by accessing third-party links, you assume all risks associated with known or unknown outcomes. AceCam is not responsible for any damage or loss resulting from your interactions with such third-party sites or services.
Examples of third-party sites or services that may be linked to include, but are not limited to, social media platforms (e.g., Facebook, Instagram, Twitter), video sharing services (e.g., YouTube), and other websites that may offer content sharing capabilities.
If you participate in any Host Course contest, AceCam Challenge, featured golf activity, or other platform-supported event or activity in connection with the Services, you acknowledge and agree that photos, videos, highlight footage, or other related content captured, curated, verified, or generated through the AceCam platform may be used, published, displayed, reproduced, distributed, or promoted by AceCam in connection with the operation, promotion, marketing, and improvement of the Services, including through the Mobile Application, AceCam's website, social media channels, promotional materials, and other marketing or distribution channels, subject to these Terms and any applicable privacy disclosures or supplemental rules.
Any content that is embedded or linked to from third-party sites is provided for your convenience. Your use of such content is at your own risk, and we encourage you to review the terms and conditions of any third-party services you interact with.
All content, features, and functionality of the AceCam Mobile Application and Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, data compilations, platform-generated content, verification records, and other materials made available through the Services (collectively, "Content"), are the exclusive property of AceCam Golf LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
By participating in any Host Course contest, AceCam Challenge, featured golf activity, reward program, or other platform-supported activity in connection with the Services, you acknowledge and agree that if your play, performance, achievement, or related activity is captured, verified, curated, or designated for featured use under the applicable rules or platform procedures, the resulting footage, highlight content, edited media, and related materials may be curated, edited, published, displayed, distributed, and otherwise used through the AceCam platform.
To the extent any such footage, highlights, or related content incorporate your likeness, performance, or other rights you may hold in that material, you hereby grant AceCam a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, modify, publish, display, distribute, and otherwise exploit such content for the purpose of operating, fulfilling, promoting, marketing, improving, and supporting the Services and the AceCam platform, subject to these Terms and any applicable privacy disclosures.
Where applicable under the relevant rules or platform procedures, featured highlight content may also form part of a non-monetary reward, recognition feature, or promotional benefit associated with your verified participation.

All trademarks, service marks, and trade names (collectively, "Marks") that appear on the Mobile Application and Services are the property of AceCam or other respective owners. You may not use any Marks without the prior written permission of AceCam or the respective trademark owner.
If you believe that your intellectual property rights have been violated by any User Content or other materials on the Mobile Application and Services, please contact us at support@acecamgolf.com. We will investigate any claims of infringement and take appropriate action in accordance with applicable laws.
You agree to indemnify, defend, and hold harmless AceCam Golf LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, suppliers, licensors, and successors (collectively, the "Indemnified Parties") from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Mobile Application and Services, including, but not limited to:
The indemnification obligations outlined herein apply to any claims made by third parties arising from your conduct while using the Services, including but not limited to any unauthorized use of the Services, any content you post, or any other actions taken in connection with your account.
In the event of any claim or legal action arising from your use of the Services, you agree to reimburse AceCam for all reasonable legal fees and expenses incurred in connection with the investigation and defense of such claims, including any settlement costs.
In the event that any claim is brought against any of the Indemnified Parties, we will provide you with written notice of such claim. You will have the right to assume the defense of the claim with counsel reasonably acceptable to AceCam; however, you shall not settle any claim without the prior written consent of AceCam, which consent shall not be unreasonably withheld.
You agree to indemnify, defend, and hold harmless the Indemnified Parties from and against any claims, liabilities, damages, judgments, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your conduct, actions, omissions, or violations in connection with any Host Course, golf facility, contest, Challenge, event, or other platform-supported activity involving the AceCam Services, including but not limited to:
AceCam is not responsible for your independent relationship with any Host Course, and nothing in these Terms relieves you of your obligation to comply with the rules, policies, and procedures applicable to any golf course or facility you visit or use in connection with the Services.
The Services provided by AceCam, including but not limited to the Mobile Application, video and photographic content capture, performance tracking, verification systems, leaderboard functionality, Wallet-related features, payment-related features, and the administration or facilitation of certain platform credits, withdrawals, rewards, and payouts, are provided on an "as-is" and "as-available" basis.
To the fullest extent permitted by applicable law, AceCam makes no representations or warranties of any kind, express or implied, regarding the reliability, availability, accuracy, completeness, suitability, or uninterrupted operation of the Services. AceCam specifically disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, AceCam does not warrant that:
AceCam's Services may depend in part on third-party providers, including Host Courses, payment processors, banks, financial service providers, network providers, mobile platforms, device manufacturers, and other service vendors. AceCam is not responsible for outages, failures, delays, inaccuracies, reversals, or interruptions caused by such third parties except to the extent required by applicable law.
To the fullest extent permitted by applicable law, AceCam Golf LLC, its affiliates, officers, directors, employees, agents, contractors, suppliers, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, use, opportunity, data, or other intangible losses, arising out of or relating to your use of, or inability to use, the Mobile Application or Services, even if AceCam has been advised of the possibility of such damages.
Without limiting the foregoing, AceCam shall not be liable for:
AceCam's Services include performance tracking, verification, content publication, Wallet-related functionality, and the administration or facilitation of certain platform credits, withdrawals, rewards, and payouts in accordance with these Terms and any applicable supplemental rules. AceCam does not guarantee the outcome of any Host Course contest and does not assume responsibility for Host Course contest rules, contest design, player eligibility decisions, or prize obligations that are established, funded, or controlled by a Host Course or other third party.
However, where AceCam is expressly identified under the applicable Terms, rules, or platform procedures as administering a particular verification determination, Wallet credit, withdrawal, reward, or other approved disbursement, AceCam will perform that limited function in good faith, subject to these Terms, applicable verification procedures, fraud and compliance review, payment processor requirements, bank processing constraints, and applicable law.
Nothing in these Terms shall require AceCam to issue, release, maintain, or honor any credit, withdrawal, reward, or payout that AceCam reasonably believes was issued in error, obtained through fraud or unauthorized activity, inconsistent with the applicable rules, unsupported by verification or payment records, subject to reversal or return, or otherwise prohibited by law or payment-provider requirements.
Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities. Accordingly, some of the limitations set forth in this Section may not apply to you, and in such jurisdictions AceCam's liability shall be limited to the fullest extent permitted by applicable law.
To the fullest extent permitted by applicable law, AceCam's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Services shall not exceed the greater of: (a) the total amount paid by you directly to AceCam for the specific Service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US $100), if no such payments were made.
This limitation applies regardless of the form of action and applies collectively to all claims relating to the Mobile Application, content capture, verification services, Wallet-related activity, payment-related activity, withdrawals, rewards, contests, Challenges, and other platform functions.
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. By using the AceCam Mobile Application and Services, you consent to the jurisdiction of the courts located in Michigan for any disputes arising out of this Agreement.
You agree that, except to the extent a dispute may properly be brought in court under Section 10.1, any disputes, claims, or controversies arising out of or relating to this Agreement or your use of the Services shall be resolved through binding arbitration rather than in court. The arbitration will be conducted by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Michigan, and you and AceCam agree to submit to the personal jurisdiction of the state and federal courts located in Michigan for purposes of enforcing this arbitration agreement and any resulting arbitration award.
You acknowledge and agree that by entering into this Agreement, you are waiving your right to a jury trial. This means that any dispute will be decided by a neutral arbitrator instead of a judge or jury.
You further agree that any disputes will be conducted on an individual basis, and not as a class action or representative action. This means that you may not bring a claim as a class member or representative in any lawsuit against AceCam.
Questions or disputes relating to Host Course contest rules, contest structure, scoring criteria, player eligibility, prize structure, or other contest-related decisions made by a Host Course should generally be directed first to the applicable Host Course, except to the extent AceCam is expressly identified as administering a particular verification determination, Wallet credit, withdrawal, reward, payout, or other platform-supported disbursement function.
Questions or disputes relating specifically to AceCam's verification systems, Challenge outcomes, platform-based rewards, Wallet balances, internal credits, withdrawal requests, payment authorizations, bank transfer activity, ACH-related issues, processor-related holds or reversals, or other AceCam-administered disbursements shall be reviewed by AceCam in accordance with these Terms, including Sections 1.4.4, 1.4.6, and 1.5.3, together with any applicable supplemental rules, payment-provider requirements, and platform procedures.
If any such dispute is not resolved through AceCam's support and review process, it shall remain subject to the arbitration provisions of this Section 10.
If you have a dispute with AceCam, you must first notify us in writing at support@acecamgolf.com, providing us with a description of the dispute and the relief you seek. We will make every effort to resolve the dispute amicably. If we are unable to resolve the dispute within thirty (30) days after we receive your notice, you may then initiate arbitration as described above.
AceCam Golf LLC reserves the right to modify these Terms at any time in its sole discretion. Any changes will be made to improve user experience, comply with legal requirements, or reflect changes in our services.
When changes are made to these Terms, we will notify you by posting the revised Terms in the Mobile Application and/or sending you an email to the address associated with your account. It is your responsibility to review the Terms periodically to stay informed about any updates.
Changes to these Terms will take effect immediately upon posting in the Mobile Application or as otherwise indicated in the notification. The "Last Updated" date at the beginning of these Terms will be revised to reflect the date of the most recent changes.
Your continued use of the Mobile Application and Services after the effective date of the revised Terms constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services immediately.
AceCam Golf LLC reserves the right to terminate or suspend your access to the Mobile Application and Services, without prior notice or liability, for any reason, including but not limited to:
You may terminate your account at any time by contacting AceCam at support@acecamgolf.com. Upon termination, you will no longer have access to your account and any associated content.
Upon termination of your account:
The provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, indemnification, limitations of liability, and dispute resolution.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The unenforceable provision will be deemed modified to the extent necessary to make it enforceable.
The failure of AceCam to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision or any other right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of AceCam.
These Terms, along with the Privacy Policy and any other legal notices or agreements published by AceCam, constitute the entire agreement between you and AceCam regarding your use of the Services. They supersede all prior agreements and understandings, whether written or oral, regarding the subject matter.
AceCam may assign its rights and obligations under these Terms at any time, in whole or in part, without notice. You may not assign or transfer any of your rights or obligations under these Terms without prior written consent from AceCam.
AceCam shall not be liable for any failure to perform its obligations under these Terms if such failure results from any cause beyond AceCam's reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation.
